Clarity Intensive - Terms of Business

Katherine Ashmore Life Coaching is registered under the company name Ashmore Health Ltd. Katherine coaches over 18 year olds only.

Client Statement

I (The Client) agree to undertake 1 session of up to 90 minutes to address a key challenge I wish to address in my life. I am committed to taking positive action to make improvements in my life and to meeting the goals I identify as necessary to do this. I am committed to being as open and honest as necessary, in order to work with Katherine Ashmore (The Coach) towards achieving my goals.

Transformative Coaching

Transformative coaching explores a client’s inner world of beliefs, assumptions, values and expectations to create greater possibilities in life, including achieving set goals and outcomes. Encouraging longer-term competence and change in one’s life. Coaching is a partnership (defined as an alliance, not a legal business partnership) between The Coach and The Client (Coachee) in a thought-provoking and creative process that inspires the Coachee to maximise personal and professional potential. It is designed to facilitate the creation/development of personal, professional, or business goals and to develop and carry out a strategy/plan for achieving those goals.

This is different from counselling, therapy, or mentoring. Though some areas can be grey which we appreciate (please see Coach-Coachee Relationship below).

In order to make the most of coaching, we ask the Client to agree to the following Ground Rules:

1. As the Client I understand that I am fully responsible for the decisions and choices reached during coaching sessions.

2. I understand that ‘coaching’ is a relationship I have with my coach that is designed to facilitate the development of personal or professional goals and develop a plan/strategy for achieving those goals.

3. I understand that coaching is a comprehensive process, which may involve all areas of my life including work, family, health, relationships, education, and recreation. I acknowledge that deciding how to handle any issues is my responsibility.

4. I understand that coaching is not a substitute for counselling, mental health care or substance abuse treatment.

5. I promise to inform my coach if I am currently in any kind of therapy and that any medical or therapeutic practitioners involved in my care have been advised of my intention to work with a coach.

6. I agree to commit to the coaching session to facilitate the required change. I, The Client, understand that at the beginning of the Clarity Intensive, I and The Coach will agree on the main focus and the desired outcomes for the session. The Coach will work with me to create greater clarity and provide a written action plan within 48 hours. The Client acknowledges that clarity is a collaborative process and depends on their openness and willingness to participate. While the Coach will facilitate insights and provide structured support, no specific results or outcomes are guaranteed.

Starting a journey of intensive transformative coaching is a commitment to making change in your life as well as being an exciting opportunity. We understand that you (The Client) need to feel comfortable and to able to trust your coach in order to do what may be deep or challenging work. The relationship is one of trust and openness which works both ways and will not be discussed with anyone outside the consultation between The Coach and The Client, unless The Coach feels The Client could be at harm to yourself or others, see below in contract.

Session Outcomes

At the beginning of the Clarity Intensive, the Client and the Coach will agree on the main focus and desired outcomes for the session. The Coach will work with the Client to create greater clarity and provide a written action plan within 48 hours.

The Client acknowledges that clarity is a collaborative process and depends on their openness and willingness to participate. While the Coach will facilitate insights and provide structured support, no specific results or outcomes are guaranteed. The fee is payable for the Coach’s time and expertise, not for the achievement of specific outcomes. Dissatisfaction with outcomes shall not constitute grounds for a refund or chargeback claim.

Timetabling of Sessions

Sessions will be held virtually with Katherine Ashmore (your Coach) via Calendly and using Zoom. This will require The Client to have good Wifi access and to find a quiet, private space where The Client won’t be overheard, without anyone else in the room, or be interrupted, to make the most of each session.

Services

The Clarity Intensive is a one-off up to 90-minute coaching session conducted online. The purpose is to provide focused clarity on a key personal challenge, with a written action plan provided by the Coach within 48 hours of the session.

AI Tools

The Coach may, at her discretion, use AI-assisted tools to support note-taking, or preparation of materials or content. These tools are used to improve efficiency and ensure high-quality resources for the Client. All outputs are created, reviewed and curated by the Coach before being shared. No personal identifying information is shared with AI tools outside the terms permitted by applicable privacy/data protection law.

Right of Refusal

The Coach reserves the right to refuse any session if they or any member of staff receives abuse or antisocial behaviour from clients (or anyone accompanying them). If it is recognised throughout the coaching journey, that The Client would benefit more from therapy, counselling, mentoring or a different communication style, The Coach will highlight it as soon as possible and again, reserve the right of refusal for any further coaching once this has been highlighted to The Client.

Confidentiality

The Coach/Coachee relationship is one based on trust in a safe confidential space. Anything The Client tells The Coach will be held confidentially unless it could put others or The Client at any risk or harm, in which case Katherine Ashmore (the Coach) reserves the right to tell the necessary appropriate third party e.g. healthcare professional. Please also see our privacy policy below. Please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognised privilege. The Coach agrees not to disclose any information pertaining to the Client without your written consent which is this agreed on completing the booking.

Payment and Cancellation Policy

The Coach wants it to be a great experience and to feel comfortable for The Client. By proceeding with booking the Clarity Intensive coaching session this is understood. Katherine has acquired a high standard of certification and training.

You have agreed to pay the fee in full of £495 paid ahead for one coaching session of up to 90 minutes for the session online. It has been agreed that you will pay this upfront using Stripe via Calently which is used to complete the booking. The fee for a Clarity Intensive is payable in full at the time of booking through the online booking system (Calendly/Stripe). Sessions are confirmed only upon receipt of payment.

If The Client does not attend a coaching session or reschedules or cancels (for any reason) with less than 48 hours’ notice, The Client will be obliged to pay for the full cost of the missed appointment directly with Ashmore Health Ltd with no refund given. No refunds are available for cancellations made less than 48 hours before the scheduled time. If a payment has been made and the session is cancelled within 24 hours by Ashmore Health Ltd, The Client will receive an additional session as compensation. Likewise, if The Client has attended any part of a coaching session or it has been completed, the coaching fee will not be refunded for that session. The Client is expected to attend the session promptly at the agreed start time. If the Client arrives more than 10 minutes late for a scheduled Clarity Intensive session without 48 hours prior notice, the session will be considered forfeit and no refund will be given. This policy ensures fairness and respect for the Coach’s time and other clients.

The Coaching Agreement

The Coaching Agreement outlines the above and below content of these Terms and Conditions but will also outline the date of validity and terms of the fee based on the number of agreed meetings or package offered. By the nature of transformative coaching, goals can change within the coaching process and by signing this document, this is understood. The meetings shall be no more than 90 minutes, unless previously agreed in writing and at a pro rata rate.

Release of Information

The Coach is a certified and accredited member of The International Federation of Coaching and engages in on-going professional continued development/training. In pursuing The Client’s agreement with Katherine Ashmore (The Coach), The Coach may ask if the session may be recorded via Zoom for supervision purposes with your consent. The Coach is not responsible for Zoom online security as they are a third party or that of Calendly for diarising appointments or that of Stripe for taking payments. All recordings will be kept securely by the Coach according to GDPR Law. Randomly selected recordings will be submitted for supervision purposes (audio and script) between the Coach and her Supervisor and the International Coaching Federation. By agreeing to the booking The Client agrees to have only their name, contact information, and start and end dates of coaching shared along with these recordings with ICF staff members or other parties involved in the process for the sole and necessary purpose of verifying the coaching relationship and coach ability. No personal notes will be shared and The Client’s confidentiality will be respected. If the Coach feels that The Client is putting themselves or others at harm they have a duty of care to write to others e.g. healthcare professionals for The Client’s benefit. By proceeding with this booking, The Client gives written consent to the release of this information.

The Coach-Client (Coachee) Relationship

The Coach agrees to maintain the ethics and standards of behaviour established by the most worldwide established coaching body which is American, the International Coaching Federation “(ICF)”. www.coachingfederation.org/ethics. It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behaviour.

The Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

The Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education, and recreation. The

Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility. The Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counselling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical, or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If the Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.

The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.

More Information about Confidentiality

Confidential Information does not include information that:

(a) was in the Coach’s possession prior to its being furnished by the Client;

(b) is generally known to the public or in the Client’s industry;

(c) is obtained by the Coach from a third party, without breach of any obligation to the Client;

(d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or

(e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose;

(f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and

(g) involves illegal activity. The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner at the beginning of the session if not before.

Privacy/Data Protection

A.The Coach and the Client will each of them comply as appropriate with applicable privacy/data protection legislation (including GDPR), binding court order, judgment or decree, guidance, codes, policy or standards.

B. With regard to processing personal data/personal identifiable information (“data”) in relation to the Client, the Coach will: process such data lawfully (on an appropriate basis including but not

limited to consent, or to comply with the Coach’s legal or regulatory obligations, or for contractual performance, or for the Coach’s legitimate interests), fairly and in a transparent manner; collect

such data for specified, explicit and legitimate purposes and not further process such data in a manner that is incompatible with those purposes; ensure that such data is adequate, relevant and

limited to what is necessary in relation to the purposes for which they are processed; maintain such data accurately; keep such data for no longer than is necessary for the purposes for which the data are processed; process such data in a manner that ensures appropriate security of the data, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, using appropriate technical or organizational measures; maintain records of such data processing under applicable privacy/data protection legislation requirements; share such data with third parties who the Coach will inform the Client about; concerning such data, observe the Client’s privacy/data protection rights under applicable privacy/data protection legislation requirements, which may be subject to some conditions and exceptions; process such data for marketing purposes under applicable privacy/data protection legislation requirements; in case of a security breach concerning such data, where requirements of applicable privacy/data protection legislation are met, notify a regulatory or supervisory authority, board or other body responsible for administering privacy/data protection legislation, and the Client of the data security breach; and, where it is necessary for the Coach to transfer such data internationally the Coach will comply with applicable privacy/data protection legislation requirements designed to ensure the privacy of such data.

C. In connection with any infringement by the Coach of applicable privacy/data protection legislation requirements, including a security breach, concerning personal data/personal identifiable information in relation to the Client, the Coach’s entire liability under this Agreement and the Client’s exclusive remedy shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date. Record Retention Policy

The Client acknowledges that the Coach has disclosed his/her record retention policy with respect to documents, information and data acquired or shared during the term of the Coach-Client relationship. Such records will be maintained by the Coach in a format of the Coach’s choice (print, written or digital/electronic) for a period of not less than 4 years.

Limited Liability

Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential, or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.

Entire Agreement

This document reflects the entire agreement between the Coach and the Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered, or supplemented except in writing signed by both the Coach and the Client.

Dispute Resolution

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to (certain amount of time such as 30 days) after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.

Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

Waiver

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

Applicable Law

This Agreement shall be governed and construed in accordance with the laws of England and Wales, without giving effect to any conflicts of laws provisions.

Binding Effect

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
